Indonesia President\u2019s Jokowidodo submitted a draft bill to the country\u2019s parliament. The draft is widely known as the \u201comnibus law\u201d and aims to transform Indonesia\u2019s economy<\/a>.  President Widodo presented his vision of Indonesia in 2045 in last October. An economy\u2019s article written by Floris Van Der Velde<\/a> mentioned that \u201cOur dream is that by 2045, Indonesia\u2019s gross domestic product will have reached US$7 trillion. Indonesia will have become one of the top five world economies with a poverty rate nearing zero percent. That is what we must head toward.\u201d
\u5370\u5c3c\u7e3d\u7d71\u4f50\u79d1\u5a01(Joko Widodo) \u5411\u8a72\u570b\u6703\u63d0\u4ea4\u4e86\u4e00\u9805\u6cd5\u6848\u3002\u8a72\u8349\u6848\u88ab\u5ee3\u6cdb\u7a31\u70ba\u300c\u5370\u5c3c\u5275\u9020\u5c31\u696d\u7d9c\u5408\u6cd5\u300d(Omnibus Law)\uff0c\u65e8\u5c07\u6539\u9032\u5370\u5c3c\u7684\u7d93\u6fdf\u3002\u53bb\u5e7410\u6708\uff0c\u4f50\u79d1\u5a01\u7e3d\u7d71\u63d0\u51fa\u4ed6\u5c0d\u5370\u5c3c2045\u5e74\u7684\u5c55\u671b\u3002\u5f17\u6d1b\u91cc\u65af\u00b7\u7bc4\u00b7\u5fb7\u00b7\u7dad\u723e\u5fb7\uff08Floris Van Der Velde\uff09\u64b0\u5beb\u7684\u7d93\u6fdf\u6587\u7ae0\u63d0\u5230\uff1a\u300c\u6211\u5011\u57282045\u5e74\u7684\u5922\u60f3\uff0c\u5370\u5c3c\u7684\u570b\u5167\u751f\u7522\u7e3d\u503c\u5c07\u9054\u52307\u842c\u5104\u7f8e\u5143\u3002\u5370\u5c3c\u5c07\u6210\u70ba\u8ca7\u56f0\u7387\u63a5\u8fd1\u96f6\u7684\u4e16\u754c\u4e94\u5927\u7d93\u6fdf\u9ad4\u7cfb\u4e4b\u4e00\u3002\u9019\u5c31\u662f\u6211\u5011\u5fc5\u9808\u8d70\u5411\u7684\u65b9\u5411\u3002<\/p>\n\n\n\n

The government realizes that to fulfill this vision, it must address the problem of over-regulation in Indonesia. Indonesia is currently ranked 73rd among 190 economies in the World Bank\u2019s Ease of Doing Business<\/a> list. The omnibus law is designed to help meet these lofty goals, in part by streamlining the country\u2019s complex, sometimes redundant regulatory environment. The law would ease restrictions in 11 critical areas, including labor law, capital investment, business licensing, corporate tax and land acquisition. Needless to say, these measures if adopted would make Indonesia a far more attractive destination for foreign businesses and investors.
\u653f\u5e9c\u610f\u8b58\u5230\uff0c\u8981\u5be6\u73fe\u9019\u4e00\u9858\u666f\uff0c\u5c31\u5fc5\u9808\u89e3\u6c7a\u5370\u5c3c\u7684\u904e\u5ea6\u898f\u7ba1\u554f\u984c\u3002\u4f9d\u64da\u4e16\u754c\u9280\u884c\u516c\u5e03\u5168\u7403\u7d93\u5546\u5bb9\u6613\u5ea6\u8abf\u67e5\uff0c\u5370\u5c3c\u5728\u5168\u7403190\u570b\u4e2d\u6392\u540d73\u540d\u3002\u300c\u5370\u5c3c\u5275\u9020\u5c31\u696d\u7d9c\u5408\u6cd5\u300d(Omnibus Law) \u662f\u70ba\u9054\u6210\u9019\u4e9b\u9ad8\u5d07\u7684\u76ee\u6a19\uff0c\u7c21\u5316\u570b\u5bb6\u7684\u8907\u96dc\u5ea6\u8207\u591a\u9918\u7684\u76e3\u7ba1\u74b0\u5883\u3002\u8a72\u6cd5\u5f8b\u5c07\u653e\u5bec\u5c0d11\u500b\u95dc\u9375\u9818\u57df\u7684\u9650\u5236\uff0c\u5305\u62ec\u52de\u52d5\u6cd5\u3001\u8cc7\u672c\u6295\u8cc7\u3001\u71df\u696d\u57f7\u7167\u3001\u516c\u53f8\u7a05\u548c\u571f\u5730\u6536\u8cfc\u3002\u5982\u679c\u63a1\u53d6\u9019\u4e9b\u63aa\u65bd\uff0c\u5c07\u4f7f\u5370\u5c3c\u6210\u70ba\u5916\u570b\u4f01\u696d\u548c\u6295\u8cc7\u8005\u66f4\u5177\u6709\u5438\u5f15\u529b\u7684\u6295\u8cc7\u76ee\u7684\u5730\u3002<\/p>\n\n\n\n

Easiest to apply business licensing
\u6700\u5bb9\u6613\u7533\u8acb\u4f01\u696d\u8a31\u53ef<\/strong><\/h3>\n\n\n\n

Any business in Indonesia now requires one or more licenses to operate, and many of these must be extended after a certain period. The responsibility for issuing business licenses is spread across many government institutions and regional governments. This multi-layered system, involving various state, local and central agencies, makes it very difficult for an investor to know what business permits and licenses must be obtained, where to obtain them, and in what order they should be applied for. The role of the national Investment Coordinating Board (BKPM) will be strengthened and is set to play a pivotal role in streamlining the issuing of all business licenses. Under the proposed law, a foreign investor will be able to obtain a business license through an online single submission (OSS) system, eliminating the need to go through multiple ministries or other government institutions.<\/p>\n\n\n\n

The omnibus law will also introduce a risk-based-approach system, dividing businesses into categories of low, middle and high risk. Businesses deemed low risk will no longer be required to obtain a business license, only a registration number. Middle-risk businesses will also not be required to obtain a business license, but will need a standard certification. High-risk businesses will still be required to obtain a full business license.<\/p>\n\n\n\n

\u5728\u5370\u5c3c\u4efb\u4f55\u4f01\u696d\u73fe\u5728\u90fd\u9700\u8981\u4e00\u6216\u591a\u9805\u8a31\u53ef\u8b49\u624d\u80fd\u904b\u71df\uff0c\u5176\u4e2d\u5e7e\u9805\u8a31\u53ef\u8b49\u5fc5\u9808\u5b9a\u671f\u5ef6\u671f\u3002\u9812\u767c\u71df\u696d\u57f7\u7167\u7684\u8cac\u4efb\u5206\u6563\u5728\u8a31\u591a\u653f\u5e9c\u6a5f\u69cb\u4ee5\u53ca\u5730\u5340\u653f\u5e9c\u3002\u9019\u7a2e\u7531\u5404\u500b\u5dde\u3001\u5730\u65b9\u548c\u4e2d\u592e\u6a5f\u69cb\u53c3\u8207\u7684\u591a\u5c64\u7cfb\u7d71\uff0c\u4f7f\u6295\u8cc7\u8005\u5f88\u96e3\u77e5\u9053\u5fc5\u9808\u7372\u5f97\u54ea\u4e9b\u5546\u696d\u8a31\u53ef\u548c\u8a31\u53ef\u8b49\uff0c\u53bb\u54ea\u88e1\u7372\u5f97\u4ee5\u53ca\u7533\u8acb\u9806\u5e8f\u3002\u300c\u5370\u5c3c\u6295\u8cc7\u5354\u8abf\u59d4\u54e1\u6703\u300d\uff08BKPM\uff09\u7684\u89d2\u8272\u6703\u66f4\u70ba\u52a0\u5f37\uff0c\u4e26\u5c07\u6240\u6709\u71df\u696d\u57f7\u7167\u7684\u4f5c\u696d\u4ee5\u53ca\u624b\u7e8c\u7c21\u5316\u3002\u6839\u64da\u64ec\u8b70\u7684\u6cd5\u5f8b\uff0c\u5916\u570b\u6295\u8cc7\u8005\u5c07\u53ef\u4ee5\u901a\u904e\u7dda\u4e0a\u7533\u8acb\uff08OSS\uff09\u7cfb\u7d71\u7372\u5f97\u71df\u696d\u57f7\u7167\uff0c\u800c\u7121\u9700\u7d93\u904e\u591a\u500b\u55ae\u4f4d\u6216\u653f\u5e9c\u6a5f\u69cb\u7533\u8acb\u3002\u300c\u5370\u5c3c\u5275\u9020\u5c31\u696d\u7d9c\u5408\u6cd5\u300d(Omnibus Law)\u4e5f\u5c07\u5f15\u5165\u300c\u98a8\u96aa\u57fa\u790e\u65b9\u6cd5\u300d\u9ad4\u7cfb\uff0c\u5c07\u5546\u696d\u5206\u5225\u70ba\u4f4e\uff0c\u4e2d\u548c\u9ad8\u98a8\u96aa\u985e\u5225\u3002\u88ab\u8996\u70ba\u4f4e\u98a8\u96aa\u7684\u4f01\u696d\u5c07\u4e0d\u518d\u9700\u8981\u7372\u5f97\u71df\u696d\u57f7\u7167\uff0c\u800c\u50c5\u9700\u8981\u7533\u8acb\u8a3b\u518a\u865f\u3002\u4e2d\u7d1a\u98a8\u96aa\u4f01\u696d\u4e5f\u7121\u9700\u7372\u5f97\u71df\u696d\u57f7\u7167\uff0c\u4f46\u9700\u8981\u6a19\u6e96\u8a8d\u8b49\u3002\u9ad8\u98a8\u96aa\u4f01\u696d\u4ecd\u5c07\u9700\u8981\u7372\u5f97\u5b8c\u6574\u7684\u71df\u696d\u57f7\u7167\u3002<\/p>\n\n\n\n

Reducing foreign investment restrictions
<\/strong>\u653e\u5bec\u5916\u570b\u6295\u8cc7\u9650\u5236<\/strong><\/h3>\n\n\n\n

Indonesia now uses the negative investment list, which includes a number of business lines that are only partially open to foreign investment. To take two examples, companies engaged in large horticulture business are open to foreign ownership of up to 30 percent, and companies engaged in broadcasting business are open to foreign ownership of up to 20 percent.<\/p>\n\n\n\n

Under the omnibus law we expect these and other business lines will be fully open to foreign ownership. If this is indeed the case, the new law will mark a dramatic liberalization of Indonesia\u2019s foreign direct investment (FDI) regime. This element of the omnibus law must be clarified by a presidential regulation that includes a list of closed business lines.<\/p>\n\n\n\n

\u5370\u5c3c\u73fe\u5728\u4f7f\u7528\u300c\u6295\u8cc7\u8ca0\u9762\u8868\u5217\u6e05\u55ae\u300d\uff0c\u5176\u4e2d\u5305\u62ec\u4e00\u4e9b\u53ea\u958b\u653e\u7d66\u5916\u8cc7\u6295\u8cc7\u90e8\u5206\u6295\u8cc7\u7684\u516c\u53f8\u3002\u8209\u5169\u500b\u4f8b\u5b50\uff0c\u5f9e\u4e8b\u5927\u578b\u5712\u85dd\u696d\u52d9\u7684\u516c\u53f8\u5c0d\u5916\u8cc7\u6301\u80a1\u6bd4\u4f8b\u6700\u9ad8\u70ba30\uff05\uff0c\u5f9e\u4e8b\u5ee3\u64ad\u696d\u52d9\u7684\u516c\u53f8\u5c0d\u5916\u8cc7\u6301\u80a1\u6bd4\u4f8b\u6700\u9ad8\u70ba20\uff05\u3002\u6839\u64da\u300c\u5370\u5c3c\u5275\u9020\u5c31\u696d\u7d9c\u5408\u6cd5\u300d(Omnibus Law)\uff0c\u6211\u5011\u9810\u8a08\u9019\u4e9b\u548c\u5176\u4ed6\u7522\u696d\u7dda\u5c07\u5b8c\u5168\u958b\u653e\u7d66\u5916\u8cc7\u6240\u6709\u3002\u82e5\u6b64\u4e8b\u70ba\u5be6\uff0c\u8a72\u65b0\u6cd5\u5f8b\u5c07\u5c0d\u5370\u5c3c\u7684\u300c\u5c0d\u5916\u76f4\u63a5\u6295\u8cc7\u300d\uff08FDI\uff09\u5236\u5ea6\u5448\u73fe\u5de8\u5927\u7684\u81ea\u7531\u5316\u3002\u6b64\u5370\u5c3c\u5275\u9020\u5c31\u696d\u7d9c\u5408\u6cd5\u300d(Omnibus Law)\u9805\u76ee\u5fc5\u9808\u901a\u904e\u7e3d\u7d71\u6cd5\u898f\u4f86\u95e1\u660e\uff0c\u5176\u4e2d\u5305\u62ec\u4e00\u7cfb\u5217\u7684\u300c\u95dc\u9589\u7522\u696d\u300d\u3002<\/p>\n\n\n\n

Easing labor laws
<\/strong>\u653e\u5bec\u52de\u57fa\u6cd5<\/strong><\/h3>\n\n\n\n

Indonesia has relatively strict labor laws. For example, the laws provide for generous mandatory severance compensation, by far the most generous in the APAC region. These and other worker-friendly laws deter many foreign investors. The omnibus law aims to make labor laws more flexible and market-friendly, and bring them more in line with other countries in the region.<\/p>\n\n\n\n

It must be said that this is a sensitive subject in Indonesia that has generated considerable opposition from labor unions and other parties. While this should not be dismissed, some resistance is to be expected when a government seeks to relax worker protections.<\/p>\n\n\n\n

\u5370\u5c3c\u6709\u76f8\u7576\u56b4\u683c\u7684\u52de\u57fa\u6cd5\u3002\u4f8b\u5982\uff0c\u6cd5\u5f8b\u898f\u5b9a\u76f8\u7576\u9ad8\u7684\u8cc7\u9063\u8cbb\uff0c\u6b64\u8cc7\u9063\u8cbb\u70ba\u4e9e\u592a\u5730\u5340\u6700\u9ad8\u7684\u3002\u9019\u4e9b\u6cd5\u5f8b\u548c\u5176\u4ed6\u5c0d\u52de\u5de5\u53cb\u5584\u7684\u6cd5\u5f8b\u5687\u963b\u4e86\u8a31\u591a\u5916\u570b\u6295\u8cc7\u8005\u3002\u300c\u5370\u5c3c\u5275\u9020\u5c31\u696d\u7d9c\u5408\u6cd5\u300d(Omnibus Law)\u65e8\u5728\u4f7f\u52de\u57fa\u6cd5\u66f4\u52a0\u5f48\u6027\u4ee5\u53ca\u5e02\u5834\u53cb\u5584\uff0c\u4e26\u8207\u5176\u4ed6\u570b\u5bb6\u66f4\u52a0\u4e00\u81f4\u3002\u5fc5\u9808\u8aaa\uff0c\u9019\u662f\u5370\u5c3c\u7684\u4e00\u500b\u654f\u611f\u8a71\u984c\uff0c\u5f15\u8d77\u4e86\u5de5\u6703\u548c\u5176\u4ed6\u653f\u9ee8\u7684\u5f37\u70c8\u53cd\u5c0d\u3002\u96d6\u7136\u9019\u4e0d\u61c9\u8a72\u88ab\u99c1\u56de\uff0c\u4f46\u662f\u7576\u653f\u5e9c\u8a66\u5716\u653e\u9b06\u5c0d\u52de\u5de5\u7684\u4fdd\u8b77\u6642\uff0c\u4e00\u5b9a\u6703\u9762\u81e8\u7684\u4e00\u4e9b\u963b\u529b\u3002<\/p>\n\n\n\n

Streamlining corporate tax regulations
<\/strong>\u7c21\u5316\u516c\u53f8\u7a05\u52d9\u6cd5\u898f<\/strong><\/h3>\n\n\n\n

A large part of the proposed omnibus law covers corporate taxation. Currently, there are many different tax laws in the country. Essentially, the bill provides for a unification of Indonesia\u2019s scattered tax regulatory framework. It aims to minimize overlapping regulations and provide many corporate tax incentives, including adjustments to the following rates.
\u64ec\u8b70\u7684\u300c\u5370\u5c3c\u5275\u9020\u5c31\u696d\u7d9c\u5408\u6cd5\u300d(Omnibus Law)\u6700\u5927\u7684\u4e00\u90e8\u5c31\u662f\u5206\u6d89\u53ca\u5230\u516c\u53f8\u7684\u7d0d\u7a05\u3002\u76ee\u524d\uff0c\u8a72\u570b\u6709\u8a31\u591a\u4e0d\u540c\u7684\u7d0d\u7a05\u6cd5\u3002\u672c\u8cea\u4e0a\uff0c\u8a72\u6cd5\u6848\u7684\u898f\u5b9a\u5c07\u5370\u5c3c\u5206\u6563\u7684\u7d0d\u7a05\u76e3\u7ba1\u6846\u67b6\u7d71\u4e00\u5316\u3002\u9019\u610f\u5473\u8457\uff0c\u5927\u7a0b\u5ea6\u5730\u6e1b\u5c11\u91cd\u758a\u6cd5\u898f\uff0c\u4e26\u63d0\u4f9b\u8a31\u591a\u516c\u53f8\u7d0d\u7a05\u512a\u60e0\uff0c\u5305\u62ec\u5c0d\u7a05\u7387\u7684\u8abf\u6574\u3002<\/p>\n\n\n\n

Corporate income tax rate

The bill will gradually decrease the corporate income tax rate from 25 to 20 percent for the period 2021 to 2023. Furthermore, qualified public companies that trade at least 40 percent of their shares on the Indonesian stock exchange can apply for an additional 3 percent rate reduction. This decrease will make Indonesia more competitive with neighboring countries.

The bill will provide for income-tax-free dividend payments, as long as the full amount is re-invested in Indonesia.
\u8a72\u6cd5\u6848\u5c07\u898f\u5b9a\u514d\u9664\u6240\u5f97\u7a05\u7684\u80a1\u606f\u652f\u4ed8\uff0c\u53ea\u8981\u5c07\u5168\u90e8\u91d1\u984d\u91cd\u65b0\u6295\u8cc7\u5230\u5370\u5ea6\u5c3c\u897f\u4e9e\u5373\u53ef\u3002<\/p>\n\n\n\n

Interest tax rate
\u5229\u606f\u7a05\u7387<\/strong><\/p>\n\n\n\n

Indonesia\u2019s current interest tax rate of 20 percent is high relative to other APAC countries. The proposed omnibus law will provide for a reduction of the rate of income tax coming from interest payments. The exact reduction has not yet been determined.<\/p>\n\n\n\n

The deliberation of the omnibus bill is currently on hold due to the pandemic and is expected to be picked up in a few months. Despite this unavoidable delay, the proposed omnibus law clearly shows the Indonesian government is committed to minimizing red tape in virtually every area of business to woo foreign investors. Those investors should keep in mind that the omnibus bill will be deliberated in parliament and that there could be changes to the draft before it becomes law.<\/p>\n\n\n\n

The omnibus law of the Job Creation law officially ratified by the government on October 5th, 2020. The omnibus law has received plenty of criticism, especially from workers regarding the law that are considered to be detrimental to labor\u2019s rights and have an impact on job, income and social security. They are demanding the government to change the law that have more beneficial impact on workers rather than investor and to increase the minimum wage of workers by doing demonstration in front of government\u2019s house of representative building (DPR building) in Jakarta. The demonstration also occurred in several district in Jakarta, including Bekasi, Banten, and other industrial district. Initially the masses of workers were going to Jakarta to join the demonstration, however they were stopped and directed to the other place around the district by police officers. Demonstration in industrial district were held in orderly manner without any violence under surveillance of police officers in every district. Regardless all the demonstration that happened recently, the omnibus law was still signed by President Jokowidodo on November 2nd, 2020. However, on the other hand in the response of the demonstration the President of the Confederation of Indonesian Workers Unions (KSPI) Said Iqbal and the President of the Confederation of All Indonesian Workers Unions (KSPSI) Andi Gani Nena Wea went to the Constitutional Court Building to file a judicial review of the omnibus law.<\/p>\n\n\n\n
